Terms of Service
These terms govern your use of ChargePanda, operated by ChargePanda. By creating an account or using the service you agree to them. If you do not agree, please do not use the service.
1. What we provide
ChargePanda is software that gives you an online store of your own for selling digital templates. We host that store, keep it running, and give you tools to import your templates, check that they still work, and take payment for them.
We provide the software. We do not sell your products, and we are not a party to any sale you make.
2. Your sales are yours — and so is the responsibility
This is the most important clause in this document, so it is stated plainly:
- You connect your own payment accounts. Money paid by your customers goes directly from them to you, through the payment provider you chose. It does not pass through us, and we never hold it.
- We take no commission on anything you sell. What you charge is what you receive, less whatever your own payment provider charges you.
- Because of that, we are not the merchant of record for your sales. You are. You are the seller your customers contract with, and you are responsible for your own products, your own customer support, your own refunds and chargebacks, your own tax obligations, and your own store's legal pages.
We give every new store a starting set of policy pages so it is not published with placeholder text. Those are a starting point for you to adopt and adapt — they are not legal advice and they are not a substitute for advice from a lawyer who knows where you trade.
3. Your account
You must give accurate details when you sign up and keep them current. You are responsible for everything done through your account and for keeping your password and any connected credentials secure. Tell us promptly at contact[at]chargepanda.com if you believe your account has been used without your permission.
One person or business, one account. You may not resell or share access to your store's administration with anyone who is not authorised to act for you.
4. Plans and payment
Every store starts on the Free plan. The Free plan is permanent and has no time limit — it is not a trial. It has limits on how much you can publish and sell, which are listed on our pricing page.
Paid plans are billed in advance for each billing period and renew automatically until you cancel. Prices are shown on the pricing page and may change; a change to what you pay will never be applied without telling you first.
On this transaction — your subscription to us — ChargePanda is the merchant, and your payment is handled by our own payment provider. Our Refund Policy applies to it.
5. Cancelling, and what happens to your store
You can cancel a paid plan at any time from your store's billing screen. Cancelling does not delete your store: at the end of the period you have paid for, it moves back to the Free plan and keeps working within that plan's limits. The same happens if a payment fails and is not resolved.
If you want your store removed entirely, ask us and we will schedule it for deletion. There is a grace period before anything is destroyed, during which the deletion can still be undone — after that it is permanent and we cannot recover it. You can ask us for a copy of your store's data at any time before then.
We may suspend or close an account that breaches these terms. Where the circumstances allow it, we will tell you why and give you a chance to put it right first.
6. Acceptable use
You agree not to use ChargePanda to:
- sell or distribute anything you do not have the right to sell;
- sell anything unlawful, or anything your payment provider prohibits;
- mislead your customers about what they are buying, who they are buying from, or what it costs;
- send unsolicited bulk email, or use your store to host malware or phishing content;
- attempt to gain access to another store's data, or to the platform's own systems; or
- place load on the service designed to degrade it for anyone else.
7. Your content stays yours
You keep all rights in your templates, your text, your images and your customer data. You give us only the permission we need in order to run your store: to store that content, to display it to your visitors, and to process it in order to provide the service to you.
8. Availability
We work to keep the service running and monitor it continuously, but no online service is available without interruption. We do not currently offer a contractual uptime guarantee, and we may need to interrupt the service for maintenance, security work or upgrades. Where an interruption is planned and significant, we will give notice.
9. Third-party services
Your store connects to services you choose — a workspace you import templates from, and the payment providers you take money through. Those services have their own terms, and their availability and behaviour are outside our control. We are not responsible for them, though we will help you diagnose a problem where we can.
10. Liability
The service is provided as it is. To the fullest extent the law allows, ChargePanda is not liable for lost profits, lost sales, lost data or other indirect or consequential loss, and our total liability to you in connection with the service is limited to the amount you paid us in the twelve months before the event giving rise to the claim.
Nothing in these terms limits any liability that cannot lawfully be limited, and nothing here affects rights you have as a consumer that cannot be waived by agreement.
11. Changes to these terms
We may update these terms as the service changes. If a change materially affects your rights, we will tell you before it takes effect. Continuing to use the service after that is acceptance of the updated terms.
